These Terms of Service ("Terms") govern your access to and use of the services provided by Milo, operated by The Lead Penguin LLC ("we," "us," or "our"), including the website at justmilo.co and the platform at justmilo.app (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Description of Service
Milo is an AI-powered operations intelligence platform designed for service-based businesses. The Service may include call management, outreach drafting, contract review, CRM management, scheduling, inbox triage, and related operational tools. Features vary by plan and vertical.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
3. Account Registration
To access certain features, you must create an account. We use magic-link email authentication only; no passwords are stored. You are responsible for maintaining the security of your email account and for all activity that occurs under your Milo account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Use the Service to send unsolicited communications in violation of anti-spam laws (including TCPA, CAN-SPAM)
- Interfere with or disrupt the Service or its infrastructure
- Reverse-engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without our written consent
5. Your Data
You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to use, process, and store Your Data solely to provide and improve the Service. We handle Your Data in accordance with our Privacy Policy.
6. Intellectual Property
The Service, including its design, features, content, and underlying technology, is owned by The Lead Penguin LLC and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent.
7. AI-Generated Content
The Service uses artificial intelligence to draft communications, analyze documents, and generate recommendations. AI-generated content is provided as a starting point and should be reviewed before use. We do not guarantee the accuracy, completeness, or legal sufficiency of any AI-generated content. You are responsible for reviewing and approving all outputs before they are sent or acted upon.
8. Third-Party Services
The Service may integrate with third-party tools and platforms (such as CRMs, email providers, and calendar applications). Your use of those third-party services is governed by their respective terms. We are not responsible for the availability or functionality of third-party services.
9. Fees and Payment
Certain features of the Service may require a paid subscription. Pricing, billing frequency, and payment terms will be presented to you before purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice.
10. Limitation of Liability
To the maximum extent permitted by law, The Lead Penguin LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of or inability to use the Service.
Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Indemnification
You agree to indemnify and hold harmless The Lead Penguin LLC from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may stop using the Service at any time. Upon termination, your right to access the Service ceases. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) will continue in effect.

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Utah.
